The firm advises on the formation, governance and dissolution of complex corporate structures, inter alia companies, partnerships and regulated entities, representing the core of its practice. Particularly, we focus on capital-raising strategies, distribution of capital, exits of investors, members’ voluntary liquidation, and, notably, handling of proceedings, including recognition and enforcement of awards and/or withdrawal of claims and/or issuance of injunctions, in various jurisdictions.

Our wealth of knowledge in M&A, joint ventures, and corporate restructurings is a major part of our practice.

We advise throughout the whole transaction, say conducting due diligence, issuance of legal opinions and/or advice, negotiation and drafting of transaction documents, assistance with governmental consents or approvals, and, with closing matters, acting either for the seller or the buyer.

Regarding joint ventures, the firm is well known in the structuring and establishment of such structures, and, equally, the firm advises on major global settlements of partners in regulated or asset holding entities, often including a reorganization and transfer of assets and/or liabilities and other legal matters.

The firm’s expertise lies in the negotiation and execution of a variety of private contracts and other legal instruments including sales, assignment, novation, lending, settlement of claims, lease, provision of service, licensing, and other. Additionally, the firm handles contractual disputes, enforcement actions as well as settlement and resolution arrangements.

Additional services entail advising on regulatory compliance within contracts, covering data protection, competition law, export or import licensing, applicable sanctions, and industry-specific regulations.

With substantial experience on structuring complex cross-border financing transactions, the firm is well positioned to advice on secured and unsecured lending, financing or refinancing arrangements and other similar contracts.

Among others, we advice on the creation and perfection of a security, such as floating charges, share pledges, mortgages, on ISDA agreenents, on debt recovery and collection and enforcement processes and on insolvency or bankruptcy proceedings.

Having represented buyers and sellers of high value immovable properties, either under construction or developed, with complex provisions regarding payment of consideration, or, transfer of legal ownership (including assignment or cancellation arrangements), the firm is a well trusted counsel in guiding any person through property acquisitions and/or sales under Cyprus law.

Further, the firm specialises in advising investors during, and upon completion of, the construction of a project. Our services include handling of claims with contractors, advice on the planning and building regulations, assistance with transfer of ownership, as well as advice on estate planning and inheritance law matters.

The firm advises clients on international applicable sanctions, guiding them through the complexities of the regulatory frameworks of the European Union, the United Nations and the Republic of Cyprus. It offers support in navigating sanctions compliance for cross-border transactions, ensuring clients meet all licensing and reporting requirements. The firm also conducts due diligence to identify and mitigate risks related to sanctions, advising on the proper legal measures to prevent potential violations.

The firm offers advice to fund managers, investment firms and other regulated persons on cross-border and national regulatory issues. Services include licensing and capital requirements, MiFID II compliance, and AML obligations. Regular interactions with the Cyprus authorities ensure efficient licensing and supervision processes, while the firm’s expertise supports also a possible renunciation of such license.

Our firm’s affiliate, Morcorp Ltd, is a licensed entity providing administrative and fiduciary services. These services include, but are not limited to, the formation and management of Cyprus companies, assistance with opening of bank accounts and acting as signatories, set up of trust arrangements, provision of escrow services and other similar services.
